Terms of service.

These Terms of Service ("Terms") govern your use of the Perfectly Placed web application (the "Service") operated by Perfectly Placed ("we," "us," or "our"), based in Montreal, Quebec, Canada. By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate information and promptly update any changes.

2. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload harmful content, malware, or any content that infringes on the rights of others
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated tools to scrape, crawl, or extract data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Create accounts using false or misleading information

3. Event Organizer Responsibilities

As an event organizer, you are solely responsible for the guest information you enter into the Service. You represent that you have the right to provide this information and that sharing it through the Service (e.g., via a guest lookup link) is consistent with your guests' reasonable expectations. You are responsible for sharing event links only with intended recipients.

4. Subscriptions and Payments

The Service offers free and paid plans. Paid subscriptions are billed through Stripe, Inc. By subscribing to a paid plan, you agree to pay the applicable fees. Subscription terms:

• Pro plan: Recurring monthly subscription. You may cancel at any time; access continues until the end of the current billing period.
• Premium (per-event): One-time payment for premium features on a specific event. Non-refundable once activated.

We reserve the right to change pricing with 30 days' notice. Price changes do not affect current billing periods for existing subscribers.

5. Intellectual Property

The Service, including its design, code, and branding, is owned by Perfectly Placed and protected by copyright and other intellectual property laws. You retain ownership of the content you create through the Service (event details, guest lists, etc.).

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We may perform maintenance, updates, or modifications that temporarily affect availability.

7. Limitation of Liability

To the maximum extent permitted by law, Perfectly Placed shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or profits, arising out of your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Perfectly Placed from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

9. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms or engage in activities that harm the Service or other users. Upon termination, your data will be deleted in accordance with our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Montreal, Quebec.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
